These Terms and Conditions ("Terms") govern your access to and use of the website, products, and services provided by Dasham Business Consulting LLP ("Dasham", "we", "us", or "our"). Dasham Business Consulting LLP is a limited liability partnership registered in India, with its office at WeWork Pavilion, 62/63 The Pavilion, Church Street, Bengaluru, Karnataka 560001. We provide business consulting services including PEO, ESG compliance, reconciliation, and vendor management, along with related software products and workshops.
2. Services
The scope, deliverables, fees, and timelines for any consulting engagement, product subscription, or workshop will be set out in a separate proposal, order form, statement of work, or registration confirmation agreed between you and Dasham. In the event of a conflict between such a document and these Terms, the specific engagement document will prevail for that engagement.
3. Eligibility and accounts
You must be at least 18 years of age and capable of entering into a legally binding contract to use our services. Where access to a product requires an account, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any unauthorised use.
4. Fees and payment
Fees are payable as specified in the applicable engagement document or invoice. Unless stated otherwise, fees are exclusive of applicable taxes, which will be charged in addition at the prevailing rate. Late payments may attract interest and may result in suspension of services.
5. Refunds and cancellations
Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.
6. Acceptable use
You agree not to:
- Use our website or services for any unlawful, fraudulent, or harmful purpose.
- Attempt to gain unauthorised access to our systems, networks, or data.
- Upload or transmit malicious code, or interfere with the proper working of our website or products.
- Reproduce, resell, or exploit any part of our services without our written consent.
7. Intellectual property
All content, software, trademarks, logos, and materials made available through our website and products are owned by or licensed to Dasham and are protected by applicable intellectual property laws. Except for rights expressly granted to you in an engagement document, no rights are transferred to you. Deliverables prepared specifically for you as part of a paid engagement will be owned as set out in the relevant engagement document.
8. Confidentiality
Each party may receive confidential information from the other in the course of an engagement. Both parties agree to keep such information confidential and to use it only for the purposes of the engagement, subject to any disclosure required by law.
9. Third-party links and services
Our website and products may contain links to, or integrate with, third-party websites and services. We are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms.
10. Warranties and disclaimers
We provide our services with reasonable care and skill. Except as expressly stated, our website and products are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the website or products will be uninterrupted or error free.
11. Limitation of liability
To the maximum extent permitted by law, Dasham will not be liable for any indirect, incidental, special, or consequential loss, or for any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or in connection with an engagement will not exceed the fees paid by you to Dasham for that engagement in the twelve months preceding the event giving rise to the claim.
12. Indemnity
You agree to indemnify and hold Dasham harmless against any claims, losses, or expenses arising from your breach of these Terms or your misuse of our website or services.
13. Termination
We may suspend or terminate your access to our website or products if you breach these Terms. Termination of a consulting engagement or subscription will be governed by the relevant engagement document and our Refund & Cancellation Policy.
14. Governing law and jurisdiction
These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to any dispute resolution mechanism agreed in an engagement document.
15. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of our website or services after any change constitutes acceptance of the revised Terms.
